Welcome to Portaul Ltd, a revolutionary sexual health management platform designed to offer secure, verified STI status sharing, exposure notifications, and more. Portaul Ltd is registered in the United Kingdom, with our principal place of business at 29 Cheniston Gardens W8 6TG. By accessing or using our mobile application (the "App") or services, you agree to comply with these Terms of Service ("Terms"). Please read these Terms carefully, as they contain important information regarding your legal rights and obligations.

2. Definitions

In these Terms:

• "App" refers to Portaul's mobile application and related services.
• "User" refers to any individual using the App.
• "Health Data" means any personal health-related information, including STI status and test results.
• "STI Status" refers to verified test results shared within the App.
• "Exposure Notifications" refers to anonymous alerts notifying users of potential STI exposure.
• "Test Results" refers to results provided by approved third-party laboratories or healthcare providers.
• "Trust Circles" refers to customizable groups for collaborative sexual health management.
• "Go Blue Status" refers to the optional status-sharing feature for individuals with HIV who have an undetectable viral load.

3. Eligibility and Use

To access and use the App, you must be at least 18 years old. By using the App, you confirm that you meet this age requirement and are legally capable of entering into these Terms. You must also comply with all applicable local, national, and international laws and regulations.

4. Account Creation and User Responsibilities

4.1 Age Verification: To create an account, you must be at least 18 years old. We use identity document verification to confirm your age. You agree to provide accurate and current identification documents for this purpose.

4.2 Multi-Factor Authentication: For your security, we implement Multi-Factor Authentication (MFA) on initial sign-up. This includes a combination of a password with a temporary code sent to your registered email.

4.3 Device Recognition: We employ device recognition technology to enhance security. You may need to register your devices, and access may be restricted to recognized and authorized devices only.

4.4 Upon registering, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.5 Users are responsible for ensuring the accuracy of their STI status and for regularly updating their health information. By agreeing to these Terms, you confirm that you will:

• Not falsify any personal or health information.
• Not use the App for any unlawful purposes or in a way that violates the rights of others.
• Promptly update your account information to keep it accurate and current.

Portaul reserves the right to immediately suspend or terminate your account if we detect or suspect any misuse of the app, including but not limited to sharing false information, attempting to bypass age verification, or violating any provision of these Terms.

5. Health Information and Medical Disclaimers

5.1 Portaul Ltd provides tools to facilitate the sharing of STI status and managing sexual health. However, the App is not intended to provide medical advice, diagnosis, or treatment. Always consult a healthcare professional for medical advice.

5.2 Accuracy of Test Results: Test results shared in the App are verified by third-party laboratories. However, Portaul cannot guarantee the accuracy or completeness of these results.

5.3 Health Risks: Users share their health information at their own risk. Portaul cannot guarantee that others will maintain the confidentiality of your data once shared.

5.4 The App is not a substitute for professional medical advice, diagnosis, or treatment. Reliance on any information provided by Portaul is solely at your own risk.

5.5 Trust Circles:

• Trust Circles are private groups within the App where users may choose to share their STI status with others.
• By joining a Trust Circle, you consent to allow other members of the Circle to view your STI status as long as you remain a member.
• You have control over your privacy within Trust Circles and may leave a Circle at any time, which will immediately revoke other members' access to your STI status.

5.6 Exposure notifications are based on user-shared test results and time-based contact information, and are purely informational in nature.

6. Use of Health Data & GDPR Compliance

6.1 Portaul Ltd is committed to protecting your privacy and complies with the UK General Data Protection Regulation (GDPR). Our processing of your data is based on your explicit consent or where necessary to perform the contract.

6.2 Your Rights Under GDPR:

• Access your data.
• Rectify inaccurate data.
• Request deletion of your data ("Right to be Forgotten").
• Object to processing in certain circumstances.
• Data portability, allowing you to transfer your data to another service provider.

How to Delete Your Account: Open the menu in the top left corner of your home page, select Settings, and click Delete My Account. Alternatively, email [email protected].

6.3 Data Retention: We retain your health data for as long as your account remains active. If you delete your account, we will remove your personal data within 30 days, except where we are required to retain it for legal purposes.

8.2 You are granted a limited, non-transferable, non-exclusive license to use the App for personal purposes in accordance with these Terms. You are not permitted to copy, distribute, reverse-engineer, use trademarks without consent, or derive source code from the App.

8.3 User-generated content: You retain ownership of content you submit, and grant Portaul a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute such content in connection with the App's services.

9. Limitation of Liability

9.1 Health and Medical Disclaimer: Portaul does not offer medical advice.

9.2 Third-Party Services and User-Provided Information: Portaul is not liable for inaccuracies or delays in laboratory results, user-input errors, misuse of shared health information, or decisions made based on app information.

9.3 No Warranty: The App is provided on an "as is" and "as available" basis.

9.4 Limitation of Liability: To the fullest extent permitted by law, Portaul Ltd shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, use, goodwill, profits, or revenues.

10. User Obligations and Code of Conduct

By using Portaul, you agree to respect other users, avoid false or misleading information, refrain from abuse, avoid illegal use, avoid disruption, keep information accurate, secure credentials and private keys, avoid account sharing, and report unauthorized access immediately. Portaul reserves the right to suspend or terminate violating accounts.

11. Termination and Account Suspension

11.1 Portaul may terminate or suspend your access if you breach these Terms. You may also delete your account at any time.

11.2 Upon termination or account deletion, Portaul will permanently delete associated personal data, except as required by law.

11.3 Provisions that should survive termination will survive termination, including ownership, warranty disclaimers, indemnity, and limitations of liability.

12. Dispute Resolution and Governing Law

12.1 Arbitration Clause: In the event of dispute, you agree to first attempt arbitration or mediation. If unresolved, disputes are subject to courts of England and Wales.

12.2 Governing Law: These Terms are governed by the laws of England and Wales.

15. Force Majeure

Neither party is liable for failure or delay due to events beyond reasonable control, including natural disasters, government acts, civil unrest, terrorism, labor disputes, or Internet service disruptions.

16. Assignment

You may not assign or transfer these Terms without Portaul's prior written consent. Portaul may freely assign or transfer these Terms without restriction.

17. Severability

If any provision is unenforceable or invalid, it will be limited or eliminated to the minimum extent necessary and the remaining Terms will remain in full force and effect.

18. Waiver

The failure of Portaul to enforce any right or provision is not a waiver. Waiver is effective only if in writing and signed by a duly authorized representative of Portaul.

19. Third-Party Integrations and API Usage

The App may allow integrations with third-party services or APIs. Use of such integrations is subject to their terms and privacy policies. Portaul is not responsible for third-party practices.

20. User Content

20.1 You retain all rights in User Content. By submitting it, you grant Portaul a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display it in connection with providing and promoting services.

20.2 You represent and warrant you own or have rights to submit User Content and it does not violate third-party rights or law.

21. Privacy Policy

Our Privacy Policy, available at https://www.portaul.com/privacy-policy, is incorporated into these Terms by reference.

22. Modifications to Services and Terms

22.1 We reserve the right to modify or discontinue services with or without notice.

22.2 We may modify these Terms from time to time and notify material changes by posting updated Terms in the App. Continued use constitutes acceptance.

23. Notices

Any notices or communications by Portaul under these Terms will be given via email or by posting to the App. For email notices, receipt is deemed the transmission date.

24. Entire Agreement

These Terms, our Privacy Policy, and any additional terms for specific service elements constitute the entire agreement between you and Portaul and supersede prior agreements and understandings.
